The following terms (together with the terms referred to therein) govern your use of our website www.canopi.org.uk (the ‘Site’) and member login area http://members.canopi.org.uk (‘Members Portal’).
Please read these terms of use carefully before you start to use the Site and Members Portal. By using the Site and Members Portal, you accept these terms of use and agree to abide by them.
DEFINITIONS
Member: A member is an individual belonging to an organisation that occupies dedicated desk space or has a virtual office at Canopi, Tanner Street, and whose organisation is billed for dedicated desk membership(s) or virtual office.
Drop-in: A member who is an occasional user in the space and has purchased at least one service such as a hot desk or meeting room booking. They could also be a former member that purchased hot desk or meeting room services after leaving the space. However, logging into the members portal, is solely for the purposes of booking meeting rooms and hot desks. A drop-in member is not able to view or engage with community members via the members portal.
INFORMATION ABOUT THE OPERATOR
The Members Portal is operated by Canopi Foundation (‘Canopi’). Canopi is a company limited by guarantee (Company number 03635124) and Charity (Charity number 1075749) in England and Wales. Canopi has its registered office at 82 Tanner Street, London SE1 3GN.
ACCESSING THE SITE AND MEMBERS PORTAL
Access to the Site and Members Portal is permitted on a temporary basis. We will not be liable if for any reason the Site and/or Members Portal is unavailable at any time or for any period.
You are responsible for making all arrangements necessary for you to have access to the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these terms, and that they comply with them.
When uploading any material to the Site and/or Members Portal, you must comply with the provisions set out in the terms under the heading of ‘ACCEPTABLE USE POLICY’.
ACCOUNT REGISTRATION
You must be a member of Canopi, or register as a drop-in user, in order to participate in certain functions of the Site, including member login and accessing our services via the Members Portal. All the information you give us must be truthful and accurate. All service emails relating to your account will be sent to the email address(es) associated with your account.
You must keep your password and other account details secret, and not share them with anyone outside of your organisation. If you share account details with someone who uses your account and is in breach of these Conditions or we believe that your account has been compromised, your account and/or access to some or all of the Site may be suspended or terminated. We are not liable for any unauthorised use or sharing of your account.
If you use or access any of our physical space, or other services we provide, your use of such space, services or programme is subject to the terms and conditions you received or accepted when you signed up for such space, services or programme and may require proof of identity and company and/or charity registration documentation.
INTELLECTUAL PROPERTY RIGHTS
We, Canopi Foundation, are the owners or the licensee of all intellectual property rights in the Site, and the material published on it. Those works are protected by copyright laws and treaties around the world, which may include database rights and literary compilation copyright. All such rights are reserved.
CANOPI’S SITE AND MEMBERS PORTAL CHANGES REGULARLY
We aim to update the Site, and/or Members Portal, regularly, and may change the content at any time. If the need arises, we may suspend access to the Site, and/or Members Portal, or close it indefinitely. Any of the material on the Site, and/or Members Portal, may be out of date an any given time, and we are under no obligations to update such material. We may also revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we have made, as they are binding on you.
CANOPI’S LIABILITY
The material displayed on the Site, and/or Members Portal, is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we hereby expressly exclude:
- all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and
- any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Site (and/or Members Portal) or in connection with the use, inability to use, or results of the use of the Site (and/or Members Portal), any websites linked to it and any materials posted on it, whether caused by tort (including negligence), breach of contract or otherwise.
Additionally, Canopi takes no liability for any information, comments or communications posted on the Members Portal by members/users except for where Canopi itself has posted a comment, or answer.
It is the responsibility of users of the Site (and/or Members Portal) to satisfy themselves in every respect as to the content of the Site (and/or Members Portal) and the quality and nature of any services provided.
INFORMATION ABOUT YOU AND YOUR VISITS TO THE SITE AND MEMBERS PORTAL
We process information about you in accordance with our Privacy Policy (https://canopi.org.uk/privacy-policy/). By using the Site, you consent to such processing and you warrant that all data provided by you is accurate. This information will be kept by the Provider in accordance with the Data Protection Act 1998 and the Consumer Rights Act 2015.
VIRUSES, HACKING AND OTHER OFFENCES
You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.
We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.
LINKS
You may link to the home page of the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. Our site must not be framed on any other site, nor may you create a link to any part of the Site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in these terms under the heading of “ACCEPTABLE USE POLICY”.
Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
You may not link to the home page of the Members Portal, nor share any of its content at any time.
JURISDICTION AND APPLICABLE LAW
The courts of England and Wales will have exclusive jurisdiction over any claim arising from, or related to, a visit to the Site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.
These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
